Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the EXIT token, the related smart contracts and protocols, and any associated websites, applications, interfaces, or services that we operate and that link to these Terms, including without limitation exit.house and its subdomains (collectively, the “EXIT HOUSE Interface”).

References to “we,” “us,” “our” or “EXIT HOUSE” mean Philadelphia Technologies LLC d/b/a Praxis Technologies, LLC, a limited liability company organized under the laws of the Commonwealth of Pennsylvania, and its affiliates. References to “EXIT” mean one or more EXIT tokens, as the context requires. References to “you” or “User” mean the person or entity accessing or using the EXIT HOUSE Interface or interacting with the EXIT smart contracts.

By accessing or using the EXIT HOUSE Interface, holding EXIT tokens, or interacting with any EXIT-related smart contract, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the EXIT HOUSE Interface or interact with EXIT smart contracts.

Nothing in these Terms or on the EXIT HOUSE Interface constitutes legal, tax, financial, or investment advice.

The Risks page explains how exits, rewards, staking and upgrades work, and what can go wrong.

1. Scope of These Terms

1.1 These Terms apply to your use of:

  • The EXIT token (an ERC-20 token deployed on the Ethereum network);
  • Smart contracts and related on-chain functionality that support EXIT, including but not limited to the asset exit and reward mechanism, staking contracts, and reward distribution contracts (collectively, the “EXIT Protocol”); and
  • The EXIT HOUSE Interface, including any front-end websites or applications we operate that read from or write to the EXIT Protocol.

1.2 The documentation published on the EXIT HOUSE Interface, including its How It Works, Protocol, Risks, and Whitepaper pages (the “Documentation”), describes the intended purpose and functionality of EXIT and the EXIT Protocol. The Documentation is provided for informational and conceptual purposes only and does not form a binding agreement with you. In the event of any conflict between the Documentation and these Terms, these Terms control.

2. Eligibility and User Representations

2.1 Minimum age. You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to use the EXIT HOUSE Interface or interact with the EXIT Protocol.

2.2 Legal capacity and compliance. By using the EXIT HOUSE Interface or interacting with the EXIT Protocol, you represent and warrant that:

  • You have full legal capacity and authority to enter into and comply with these Terms;
  • Your use of EXIT is not prohibited or restricted by any law, regulation, or rule applicable to you;
  • You are not located in, organized under the laws of, or ordinarily resident in any jurisdiction where accessing or using EXIT or the EXIT HOUSE Interface is restricted, prohibited, or would require registration, licensing, or other authorization we have not obtained; and
  • You are not subject to any sanctions or listed on any sanctions list administered by the United States, the European Union, the United Kingdom, or any other relevant authority.

2.3 Responsibility for local laws. You are solely responsible for understanding and complying with all laws, rules, and regulations that may apply to your access to and use of EXIT, including those related to digital assets, anti-money laundering, counter-terrorist financing, sanctions, tax, and securities.

Nothing in these Terms is intended to limit any non-waivable rights you may have under applicable law in the Commonwealth of Pennsylvania or your local jurisdiction.

3. Description of EXIT and the EXIT Protocol

3.1 EXIT Token. EXIT is an ERC-20 token on the Ethereum blockchain designed as a utility token within the EXIT ecosystem. Its supply is fixed at 10,000,000,000 tokens, all created at launch; the EXIT token contract has no function to create more. EXIT may be used within the EXIT Protocol as described in the Documentation, including but not limited to:

  • Receiving EXIT tokens in exchange when you permanently exit certain eligible NFTs or ERC-20 tokens;
  • Participating in fixed-term staking, if and when such features are available; and
  • Other ecosystem utilities that may be introduced or modified over time.

3.2 No rights in the Company. EXIT tokens do not represent or confer:

  • Any ownership, equity, shareholding, or similar interest in any entity;
  • Any voting rights in any company or legal entity;
  • Any right to share in profits, revenue, or assets of any entity; or
  • Any claim, debt, or other obligation owed by us or any third party.

3.3 Exit-and-reward mechanism. Subject to the EXIT Protocol’s rules and smart contract logic, Users may choose to irreversibly “exit” certain NFTs or tokens in exchange for EXIT rewards. An exited asset is either destroyed through its own burn function or transferred to an address that no one controls (0x000…dEaD); in either case it cannot be recovered. Each exit is made against a quote signed by our pricing service, which fixes the asset, the amount, the qualifying value, the reward rate, the reward, and the exit fee before you confirm the transaction. Each exit carries an exit fee, currently two percent (2%) of its qualifying value, which the quote states in ETH and which you pay with the exit transaction, in addition to network (gas) fees. The smart contracts forward the exit fee at once to the EXIT Protocol’s liquidity and treasury recipients; it is part of the exit and is not refundable. The fee rate and its recipients may change for future quotes. Qualifying values are calculated with reference to external pricing data (for example, marketplace floor prices and offers, price feeds, and decentralized exchanges) and protocol parameters, including caps and limits. Which assets are eligible, and the availability, form, and amount of any EXIT to be distributed, are determined programmatically by the relevant smart contracts and pricing rules and may be changed, paused, or discontinued at any time.

3.4 Staking and programmatic rewards. If staking or other reward mechanisms are offered via the EXIT Protocol:

  • Each staking position runs for the fixed term chosen when it is opened and earns the fixed yield shown for that term, which is a yield for the whole term and not an annual rate;
  • Staked EXIT cannot be withdrawn before the end of its term;
  • Rewards are paid from the protocol’s staking reward allocation, and are subject to the correct operation of the smart contracts, protocol configuration, and network fees; the market value of EXIT, and therefore of any reward, is not guaranteed; and
  • We may add, modify, or discontinue staking terms for new positions in our discretion; positions already open keep the terms they were opened with.

3.5 Non-custodial design. The EXIT Protocol and EXIT HOUSE Interface are designed to be non-custodial. You must use your own compatible, non-custodial digital wallet. We do not at any time take possession of or assume control over your private keys or digital assets. All transactions are executed on the Ethereum blockchain and are irreversible once confirmed.

3.6 Upgradeable smart contracts. Certain EXIT smart contracts, including the EXIT token, the exit router, and the staking contract, are upgradeable so that defects can be corrected. Upgrades are controlled by a multisignature wallet and take effect only after a public timelock delay. An upgrade replaces contract code and may change how the EXIT Protocol behaves. Records of upgrades are published on the EXIT HOUSE Interface.

4. No Investment Advice; No Offer or Solicitation

4.1 Informational only. Content on the EXIT HOUSE Interface, the Documentation, and any communications we make (including on social media) are provided for general informational and educational purposes only. Nothing is or should be construed as:

  • Financial, investment, legal, or tax advice; or
  • A recommendation to buy, sell, hold, exit, or otherwise interact with any token, NFT, or digital asset (including EXIT).

4.2 No securities or offering document. The EXIT token and the EXIT Protocol are not intended to constitute securities, collective investment schemes, or any other regulated financial product in any jurisdiction. These Terms, the Documentation, and any marketing materials are not a prospectus, offering memorandum, or any other form of offering document.

4.3 Your own assessment. You are solely responsible for:

  • Conducting your own research and due diligence on EXIT, NFTs, and other digital assets;
  • Evaluating the risks before interacting with EXIT or the EXIT Protocol; and
  • Obtaining independent legal, tax, and financial advice where appropriate.

5. Digital Asset Risks

By using EXIT or the EXIT Protocol, you acknowledge and accept, without limitation, the following risks:

5.1 Volatility. Digital assets, including EXIT and NFTs, are highly volatile and may lose all value. Past performance is not indicative of future results.

5.2 Smart contract and technical risks. Smart contracts may contain bugs, vulnerabilities, or exploits that could be discovered at any time. These could lead to partial or total loss of tokens, NFTs, or rewards. Smart contracts operate autonomously and may behave in ways that are unexpected or unintended.

5.3 Upgrade risks. Upgrades to the EXIT smart contracts replace their code, which may contain new defects or change how the EXIT Protocol behaves. Staked EXIT cannot be withdrawn early to avoid an upgrade.

5.4 Oracle and data risks. Any pricing, floor value, offer, or other data used to determine EXIT rewards may be supplied by third-party services, marketplaces, price feeds, or decentralized exchanges. Such data may be delayed, inaccurate, manipulated, unavailable, or compromised. This can impact reward calculations and protocol behavior.

5.5 Network and fee risks. Ethereum network congestion, failures, forks, or changes (e.g., protocol upgrades) may affect your ability to transact, claim rewards, or interact with EXIT. Gas fees can be unpredictable and may be substantial.

5.6 Regulatory risks. Laws and regulations governing digital assets are evolving, including in the United States and any state. New rules or interpretations may adversely affect the legality, use, value, or availability of EXIT, NFTs, or the EXIT Protocol, and may require modification, restriction, or discontinuation of services.

5.7 Security and custody risks. If you lose access to your wallet, private keys, seed phrase, or other credentials, you may permanently lose access to your EXIT tokens, NFTs, and rewards. We cannot recover or restore such access.

5.8 No guarantees. There is no guarantee that:

  • The EXIT Protocol will operate as described in the Documentation or on the EXIT HOUSE Interface;
  • Any particular reward rate or mechanism will continue to be available; or
  • EXIT will have or maintain any particular value, liquidity, or market.

6. User Responsibilities

6.1 Wallets and keys. You are solely responsible for:

  • Maintaining the security of your wallet, private keys, seed phrase, and credentials;
  • Ensuring that your wallet is compatible with EXIT and any smart contracts you interact with; and
  • Backing up your wallet and related information.

We do not store, have access to, or recover your private keys or seed phrase.

6.2 On-chain transactions. You understand and agree that:

  • All interactions with the EXIT Protocol occur on-chain via transactions you sign and broadcast;
  • Transactions, including exits, token approvals, and transfers, are irreversible once confirmed on the blockchain; and
  • You are responsible for verifying transaction details (including contract addresses and amounts) before signing.

6.3 Ownership and authority. You represent and warrant that you have full rights and authority over any NFTs or tokens you choose to exit or otherwise interact with via the EXIT Protocol, and that your actions do not violate any rights of third parties.

6.4 Compliance and lawful use. You agree not to use EXIT or the EXIT HOUSE Interface:

  • In connection with any unlawful, fraudulent, or harmful activity;
  • To evade or violate sanctions, anti-money laundering, or counter-terrorist financing laws;
  • To engage in market manipulation, wash trading, or other abusive trading practices, including manipulating the market data used to value assets; or
  • In any manner that could damage, disable, or interfere with the EXIT HOUSE Interface or EXIT Protocol.

7. Third-Party Services and Links

7.1 Third-party wallets and tools. You may access EXIT or the EXIT Protocol using third-party wallets, interfaces, dApps, marketplaces, bridges, or other tools. These are not operated or controlled by us. Your use of third-party services is at your own risk and subject to those third parties’ terms and policies.

7.2 No endorsement or responsibility. We do not endorse, and are not responsible or liable for:

  • Any third-party services, content, or websites; or
  • Any harm, loss, or damage arising from your use of or reliance on them.

8. Rewards, Exits, and Staking

8.1 Exits are permanent. When you exit an NFT or token via the EXIT Protocol, it is burned or sent to an address no one controls. The exit is permanent and cannot be reversed. Neither you nor we will be able to restore or reclaim the exited asset.

8.2 Reward calculations. Any EXIT resulting from exits, staking, or other protocol actions is determined automatically by the EXIT smart contracts and the signed quote according to parameters that may include:

  • Market, floor, offer, or exchange price data;
  • The protocol-defined reward rate in effect; and
  • Limits, caps, or eligibility conditions.

We do not guarantee any specific reward amount or reward schedule.

8.3 Staking. If you stake EXIT via the EXIT Protocol:

  • You will be unable to withdraw your staked EXIT until the end of the term you chose, subject to the smart contracts’ rules; there is no early withdrawal; and
  • The terms and yields offered for new positions are subject to change and may be increased, reduced, or discontinued at any time.

8.4 Protocol changes and pauses. We may update, modify, pause, or disable parts or all of the EXIT Protocol or EXIT HOUSE Interface at any time, including in response to security issues, governance decisions, or regulatory developments. Such actions may impact your ability to claim rewards, stake, exit assets, or otherwise interact with EXIT.

9. Taxes

You are solely responsible for determining and fulfilling any tax obligations that arise from your acquisition, holding, exiting, staking, or disposal of EXIT or other digital assets, including reporting and paying any applicable income, capital gains, state, local, federal, or other taxes. We do not provide tax advice and are not responsible for determining or reporting your tax obligations. We do not have access to your personally protected information at any time in connection with your use of the EXIT HOUSE Interface.

10. Intellectual Property

10.1 Our IP. We (or our licensors) own all rights, title, and interest in and to:

  • The EXIT and EXIT HOUSE names, logos, and trademarks;
  • The EXIT HOUSE Interface design, text, graphics, and other content (excluding open-source components and blockchain data); and
  • Any proprietary code or software used to operate the EXIT HOUSE Interface.

To the extent required by law only, you are deemed granted a limited, revocable, non-exclusive, non-transferable license to access and use the EXIT HOUSE Interface solely for its intended purposes and in accordance with these Terms.

10.2 Restrictions. You may not, without our prior written consent:

  • Copy, modify, distribute, or create derivative works of the EXIT HOUSE Interface or proprietary content;
  • Use our trademarks, logos, or branding in any way that implies endorsement or sponsorship; or
  • Use data mining, scraping, or similar tools to extract data from the EXIT HOUSE Interface (except as permitted by applicable open-source or blockchain norms).

10.3 User submissions and feedback. If you provide us with feedback, suggestions, or other content related to EXIT (collectively, “Feedback”), you grant us a perpetual, irrevocable, non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and create derivative works from such Feedback for any purpose, without compensation to you.

11. Disclaimers

11.1 “As is” and “as available.” To the maximum extent permitted by law, EXIT, the EXIT Protocol, and the EXIT HOUSE Interface are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

11.2 No guarantee of availability or performance. We do not warrant that:

  • The EXIT HOUSE Interface or EXIT Protocol will be available, uninterrupted, secure, and error-free;
  • Any defects will be corrected; or
  • Any particular features, utilities, or rewards will always be available.

11.3 No responsibility for blockchain or third parties. We are not responsible for:

  • The operation of the Ethereum network or any other blockchain;
  • Any third-party services, wallets, interfaces, marketplaces, price feeds, or oracles; or
  • Any acts or omissions of third parties.

Nothing in this Section 11 is intended to limit any specific warranty or right that cannot be excluded or limited under applicable law.

12. Limitation of Liability

To the maximum extent permitted by law:

12.1 We and our affiliates, officers, directors, employees, and agents will not be liable to you for any:

  • Indirect, incidental, special, consequential, exemplary, or punitive damages; or
  • Loss of profits, revenue, data, goodwill, or opportunity,

arising out of or in connection with your use of or inability to use EXIT, the EXIT Protocol, or the EXIT HOUSE Interface, even if we have been advised of the possibility of such damages.

12.2 Our aggregate liability to you for any claims arising out of or related to EXIT, the EXIT Protocol, the EXIT HOUSE Interface, or these Terms will not exceed, in the aggregate, the greater of:

  • The amount you have paid directly to us (if any) in connection with your use of the EXIT HOUSE Interface during the twelve (12) months preceding the event giving rise to the claim; or
  • US$100.

Some jurisdictions, including potentially the Commonwealth of Pennsylvania, do not allow the exclusion or limitation of certain damages. In such cases, the limitations in this Section 12 apply only to the extent permitted by applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless us and our affiliates, and our respective officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your access to or use of EXIT, the EXIT Protocol, or the EXIT HOUSE Interface;
  • Your violation of these Terms or any applicable law or regulation; or
  • Your infringement or violation of any rights of any other person or entity.

14. Changes to Terms and Protocol

14.1 Changes to Terms. We may update or modify these Terms at any time, in our discretion. When we do so, we will update the “Last updated” date at the top of these Terms. Your continued use of EXIT or the EXIT HOUSE Interface after any changes to these Terms constitutes your acceptance of the revised Terms.

14.2 Changes to the EXIT Protocol or Interface. We may update, modify, fork, discontinue, or suspend the EXIT Protocol or EXIT HOUSE Interface (in whole or in part) at any time, including for security, legal, technical, or operational reasons, without liability to you.

15. Suspension and Termination

We may, at our discretion and without prior notice, suspend or restrict your access to the EXIT HOUSE Interface (including via technical measures such as geo-blocking, wallet blocklisting, or other controls) if we believe:

  • You have violated these Terms or applicable law; or
  • Such action is reasonably necessary to protect the EXIT Protocol, other users, or us from risk, harm, or liability.

Due to the permissionless nature of the Ethereum network, we may not be able to fully prevent you from interacting directly with the underlying smart contracts, but we may restrict your access to the EXIT HOUSE Interface and related services we control.

16. Governing Law and Dispute Resolution

16.1 Governing law. These Terms and any dispute arising out of or relating to them or to EXIT, the EXIT Protocol, or the EXIT HOUSE Interface shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws rules.

16.2 Venue. You agree that any legal action or proceeding arising out of or relating to these Terms or your use of EXIT, the EXIT Protocol, or the EXIT HOUSE Interface shall be brought exclusively in:

  • The state courts of the Commonwealth of Pennsylvania, located in Philadelphia County; or
  • The United States District Court for the Eastern District of Pennsylvania,

and you hereby consent to the personal jurisdiction and venue of such courts.

Nothing in this Section 16 is intended to limit any right you may have under mandatory consumer protection laws that provide for alternative venues or dispute-resolution mechanisms.

17. Miscellaneous

17.1 Entire agreement. These Terms constitute the entire agreement between you and us with respect to the subject matter hereof as of the date above and supersede all prior and contemporaneous understandings or agreements regarding EXIT as between you and us.

17.2 Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid, illegal, or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable, consistent with the intent of the original provision and applicable law.

17.3 No waiver. Our failure to enforce any right or provision of these Terms is not a waiver of such right or provision.

17.4 Assignment. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

Key Risks & Disclosures

EXIT should be considered an experimental, early stage, ERC-20 utility token used within the EXIT ecosystem. Interacting with EXIT and the EXIT Protocol involves significant risks, including the potential loss of all value of your tokens and NFTs. Exits are permanent. Smart contracts, oracles, and blockchain networks may fail, be attacked, or behave in unexpected ways.

Nothing on this website, in the Documentation, or in any related communication is financial, investment, tax, or legal advice, and nothing here constitutes an offer or solicitation to buy or sell any security or other regulated financial product. You are solely responsible for determining whether and how to use EXIT under the laws of the jurisdiction to which you are subject.

Before acquiring EXIT tokens, exiting NFTs or tokens, or participating in any rewards or staking programs, you should carefully review these Terms and Conditions and the Risk Disclosures, perform your own research, and consider seeking independent professional advice.
